STANDARD TERMS & CONDITIONS OF AUCTION
ACKNOWLEDGMENT AND ACCEPTANCE OF TERMS AND CONDITIONS: These Official St. Louis CITY SC Auction Terms and Conditions comprise the entire agreement between you (having registered as a “User” of the St. Louis CITY SC app and agreeing to St. Louis CITY SC app Terms of Service and Privacy Policy), and St. Louis CITY SC Auctions and supersede all prior agreements among these parties regarding the subject matter contained herein. By participating in the registration process, User indicates his/her agreement to be bound by all of the Official St. Louis CITY SC Auction Terms and Conditions.
ELIGIBILITY: To participate in the “Auction” (as defined below), you must be 18 or older and a resident of the United States. Users may participate in the Auction only in and from the United States (excluding Puerto Rico). St. Louis CITY SC will not fulfill any merchandise to destinations outside of the United States. Employees of TKFC LC (d/b/a St. Louis CITY SC), Major League Soccer, L.L.C. (“MLS”), and Soccer United Marketing, LLC (“SUM” and collectively with MLS, the “MLS Entities”), their respective parents, affiliates, subsidiaries, advertising and promotion agencies and their immediate family Users and/or those living in same household of each are not eligible to participate in the auction. “Bidders” (as defined below) who do not meet eligibility criteria or fail to comply with these Terms and Conditions may be prohibited from participating in the Auction.
AUCTIONS: St. Louis CITY SC will host an auction that will feature a two items (each an “Auction” and collectively, the “Auctions.”) A bid on an item (a “Bid” and collectively, “Bids”) in an Auction is an irrevocable offer to buy an item at the price in the Bid, provided the bidder's offer is one of two highest dollar amount bids at Auction’s close when no time remains on the Auction countdown clock (the “Winning Bid”). Any individual that makes a bid is a “Bidder.” The two highest bids that make a Winning Bid shall be the “Winning Bidder” (and collectively, the “Winning Bidders”).
PAYMENT: Winning Bidders will be notified via the email associated with Winning Bidder’s User account within twenty-four (24) hours after Auction’s close. Winning Bidder’s Auction will be put on hold at Auction’s close until Winning Bidder has paid in full for the Auction. Winning Bidder will be emailed a unique link for payment for Auction. Payment will be processed within 24 hours. If no payment is made within 24 hours contact, the next highest bidder will become the Winning Bidder and the process will begin again until completed. Auction close times are final, and St. Louis CITY SC reserves the right to close an Auction earlier or later than the scheduled time. St. Louis CITY SC has the right to refuse service to anyone. St. Louis CITY SC will exercise this right in situations including, but not limited to, bidders making a habit of winning auctions and not buying. Bid manipulation of any kind and shill bidding is expressly forbidden. Bidders are prohibited from communicating with each other for the purpose of manipulating the final purchase price of an item. Winning Bidders agree that all transactions in which they partake do not violate any applicable state, federal and/or international laws. Bidders agree to provide true and accurate information about themselves in the St. Louis CITY SC registration form. All bids are final and not subject to cancellation once submitted. Neither St. Louis CITY SC is not responsible for bids not being processed or not being accepted due to technical difficulties. Bidders agree to refrain from 'spamming' (sending unsolicited commercial email to other bidders). Any and all payments to St. Louis CITY SC are non-refundable. All bids are made in increments and are subject to a minimum bid, as posted for each item. It is a violation of law to make bids in a false name, even if such a bid is initially accepted by the St. Louis CITY SC software. Please be aware that even if you do not give St. Louis CITY SC your real name, your web browser transmits a unique Internet address which can be used by law enforcement officials to identify you. Fraudulent bidders may be prosecuted to the fullest extent of the law. St. Louis CITY SC may, at their sole discretion, terminate service should a Bidder’s conduct fail to conform to these Terms and Conditions. AUCTION PICKUP AND SHIPPING: Winning Bidder’s auction item can be picked up after Winning Bidder payment. Location of auction item pickup is at CITY Pavilion: 2118 Market Street, Saint Louis, MO 63103 during regular store hours: Monday through Friday from 10:00AM CT – 6:00PM CT; Saturday 11:00AM CT – 6:00PM CT; Sunday 11:00AM CT– 5:00PM CT. Store hours are subject to change. Upon arrival for pickup, request a supervisor. Proof of Winner Bidder’s identification will be requested. If Winning Bidder is unable to pick-up auction item, the item may be shipped to Winning Bidder’s mailing address. All items will be shipped within ten (10) business days of payment verification from the Winning Bidder, unless otherwise indicated on the product page.
ACCESS TO AUCTION: To access the Auction, you must have access to the internet and be a registered User (“User”) of the St. Louis CITY SC app, and you are solely responsible for payment of any service fees associated with such access. St. Louis CITY SC registration is free and can be obtained by going to www.stlcitysc.com/app and following the online instructions to register a User account.
REGISTRATION: In order to access certain features of the App and/or Services, you will be required to register with St. Louis CITY SC by providing certain personally identifiable information about yourself, including, but not limited to, your name and email address. In consideration for our granting you access to these features of the App and Services, you hereby expressly agree to provide true, accurate, current and complete information about yourself as requested and as necessary for our provision of, and/or your registration for the use of, those features of the App and Services, subject to all applicable laws, rules and regulations. If you provide any information that is untrue, inaccurate, not current or incomplete, or if St. Louis CITY SC has reasonable grounds to suspect that the information that you have provided is untrue, inaccurate, not current or incomplete, we have the absolute right to suspend or terminate your account at any time and refuse you any and all current or future use of the App and Services. For details concerning how such personally identifiable information is collected, used, disclosed and otherwise managed please see our Privacy Policy, which is incorporated herein by this reference.
INDEMNIFICATION You hereby agree to indemnify and hold St. Louis CITY SC, MLS, SUM, each MLS member club operator, and each of the foregoing entities’ respective operators, affiliates, subsidiaries, vendors, partners, members, managers, owners, directors, officers, employees, agents, shareholders, governors and representatives harmless from any and all claims, demands, liabilities, damages and expenses and other losses (including attorneys' fees and court costs) arising out of or relating to: (i) your use of the App, including, without limitation, use of any Message Feature, Service, or the Store; and/or (ii) any breach or alleged breach of these Terms of Service by you. You shall not settle any such claim without the prior written consent of MLS. We reserve the right to defend any such claims and, for clarity, you agree to reimburse us for all liabilities, fines, costs and expenses associated with defending against and resolving any such claims. These obligations will survive any termination of these Terms of Service.
LAWS: Persons who tamper with or abuse any aspect of the Auction or app or website or attempt to undermine the legitimate operation of the Auction by cheating, deception, or other unfair playing practices, or intend to annoy, abuse, threaten, or harass any other Bidder or the St. Louis CITY SC’s representatives or who are in violation of these Official Rules, as solely determined by St. Louis CITY SC, will be disqualified and all associated Bids will be void. Any attempt to deliberately damage the content or operation of this Auction is unlawful and subject to legal action by the St. Louis CITY SC, the MLS Entities, and/or their respective agents. St. Louis CITY SC and the MLS Entities shall have the sole right to disqualify any Bidder for violation of these Official Rules or any applicable laws relating to the Auction, and to resolve all disputes in their sole discretion. Released Parties (i) make no warranty, guaranty, or representation of any kind concerning any Auction item, and (ii) disclaim any implied warranty. All disputes will be resolved under applicable U.S. laws in the County of St. Louis, State of Missouri without giving effect to choice of law or conflicted law principles (whether of the State of Missouri, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Missouri. The St. Louis CITY SC’s failure to enforce any terms of these Official Rules shall not constitute a waiver of that provision.
St. Louis CITY SC and reserves the right, in their sole discretion, to cancel or suspend the Auction for any reason outside of St. Louis CITY SC’s control, including should virus, bugs, unauthorized human intervention, or other causes corrupt the administration, security, fairness, integrity or proper operation of the Auction. In the event of cancellation, St. Louis CITY SC may elect to identify the Winner and award the Auction item from among all non-suspect, eligible Bids received up to the time of such cancellation.
CAUTION: ANY ATTEMPT BY AN BIDDER TO DELIBERATELY DAMAGE ANY WEBSITE OR APP OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS AUCTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE ST. LOUIS CITY SC AND MLS WILL DISQUALIFY ANY SUCH BIDDER, AND THE ST. LOUIS CITY SC AND THE MLS ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH BIDDER TO THE FULLEST EXTENT PERMITTED BY LAW.
